Part 1 sets forth provisions that apply commonly to the use of all TerraSignal services.
Article 1 (Application)
These Terms of Service ("these Terms") apply to all relationships concerning the use of all services provided by TERRASIGNAL K.K. ("the Company"), including TerraSignal Run, TerraSignal Plan, and others (collectively, "the Service").
Article 2 (Definitions)
1. "the Company" means TERRASIGNAL K.K.
2. "the Service" collectively refers to the mobile applications, web services, and other related services (including TerraSignal Run and TerraSignal Plan) provided by the Company.
3. "User" means an individual or corporation that uses the Service after agreeing to these Terms.
4. "Individual Agreement" means a separate operational services agreement (Master Service Agreement, MSA) or similar concluded between the User and the Company.
Article 3 (Account Registration)
Any party wishing to use the Service shall register an account by the method prescribed by the Company after agreeing to these Terms and the separately published Privacy Policy. Users are responsible for the accuracy of their registration information and for managing their ID and password.
Article 4 (Service Content)
The Service consists of TerraSignal Run (battery operation optimization advisory), TerraSignal Plan (planned for future release), and other services. Specific usage conditions are set forth in Part 2 of these Terms (Service-Specific Provisions) and in any Individual Agreement separately concluded between the User and the Company.
Article 5 (Application of Service-Specific Provisions and Individual Agreements)
Part 2 of these Terms (Service-Specific Provisions) applies in conjunction with these Terms. Where an Individual Agreement (MSA, etc.) is concluded between the User and the Company, the provisions of such Individual Agreement shall prevail over these Terms. In the event of conflict between these Terms and an Individual Agreement, the Individual Agreement shall prevail.
Article 6 (Prohibited Conduct)
The User shall not engage in any of the following:
1. Acts that violate laws, regulations, or public order and morals.
2. Acts that infringe the rights of third parties.
3. Reverse engineering, decompilation, unauthorized access, or other improper use of the Service.
4. Reselling or redistributing data obtained from the Service without the Company's prior written consent.
5. Acts that cause damage to the Company, other users, or third parties.
Article 7 (Intellectual Property)
All intellectual property rights (including copyrights, patents, and trademarks) in the Service belong to the Company or the rightful licensors. Users may not use these beyond what is necessary to use the Service.
Article 8 (Confidentiality)
The User shall keep confidential the Company's business, technical, and other operational information (excluding publicly known information) obtained through the use of the Service, and shall not disclose, leak, or use such information for any purpose other than use of the Service without the Company's prior written consent.
Article 9 (Service Suspension and Changes)
The Company may temporarily suspend all or part of the Service for maintenance, system failures, force majeure events, or other unavoidable reasons. The Company will make reasonable efforts to give prior notice, except in emergencies.
Article 10 (Termination)
If the User breaches these Terms, the Company may suspend use of the Service or terminate the usage agreement without prior notice. Voluntary termination by the User shall follow the method prescribed by the Company or set forth in any Individual Agreement.
Article 11 (Limitation of Liability)
The Company's liability to the User shall be capped at the total amount of fees paid by the User to the Company during the 12 months prior to the event giving rise to the damage. Where an Individual Agreement between the User and the Company provides otherwise, such provision shall prevail. In no event shall the Company be liable for lost profits, indirect, special, or consequential damages.
Article 12 (Changes to Terms)
The Company may amend these Terms as reasonably necessary. Material changes will be notified to Users by email or by notice on the Service. The amended Terms shall apply from the effective date determined by the Company.
Article 13 (Governing Law and Jurisdiction)
These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
